Section 152
A company with a single shareholder does not have to call a meeting of the board of directors or a general meeting.
Notwithstanding anything else written in this Act, a company with a single shareholder, except as otherwise provided in the regulations, all actions and decisions to be made by the board of directors or a general meeting of the company shall be made in accordance with the written decision of such shareholder. There will be and for that there is no need to call a meeting of the board of directors or a general meeting.
